The attorneys at H|PF have extensive experience serving as counsel to borrowers of all sizes and in a wide variety of industries in connection with conduit financing transactions.

We have counseled not-for-profit borrowers, such as healthcare organizations, schools, colleges, and universities, on a range of tax-exempt financing transactions. Our borrower’s counsel services include review of the bond documents, review of the borrower’s organizing documents and financial and real estate documents, preparation of a legal opinion confirming the exempt status of the borrower and the enforceability of documents executed by the borrower, preparation of real estate security documents and UCC filings, and rendering of an opinion regarding the lien created by the real estate security documents, if applicable.

In the economic development sector, our attorneys have represented for-profit domestic and international companies accessing capital for relocation, expansion, and improvement projects as varied as warehouses, office buildings, mixed-use facilities, factories, and industrial parks. In those representations, we helped our borrower clients navigate the legal complexities of the financing and accomplish their objectives. We have negotiated and structured incentives packages with state and local governments and advised companies regarding compliance with and renegotiation of governmental performance thresholds and avoidance of repayment of tax incentives when commitments are not satisfied.

Our borrower’s counsel services are not limited to the bond transaction. We are committed to helping clients achieve their business goals, and, to that end, we advise our business clients on corporate structuring and compliance with federal and state laws, draft, negotiate, and review a variety of commercial contracts, prepare incorporating documents, bylaws, and board resolutions, provide counsel in board meetings, and assist with debt structuring, problem and risk identification, compliance with tax and securities laws, and other legal guidance and business advice.
